Terms of Use 

The following terms of use (the "Terms") constitutes a legally binding agreement between you (“user”, “you”) and Neurosonic Finland Oy, business ID 2370999-5, Rantakatu 3, 90100 Oulu, FINLAND, ("Neurosonic" "we," "our" or "us"). This Terms governs your use of Neurosonic Products, Software, Website (www.neurosonic.fi) and other services defined below in this Terms (hereinafter together the “Service”). 

Please note that the full Service experience requires a Neurosonic product, Internet access to the Neurosonic mobile app and Website, and other required software (if any). Periodic updates to any of these elements may be required for improved performance, and the performance of the whole may be affected by the performance of any of these elements. You are responsible for obtaining your own Internet access and mobile device to access the Services.

If you are using the Service on behalf of a company or other legal entity, such entity may have a separate Terms with us, but you are nevertheless individually bound by this Terms. If you do not want to become a user, do not access and / or use the Service. By becoming a user, you acknowledge that you have read and understood the terms and conditions of this Terms and that you agree to be bound by all of its provisions. 

No person under the age of 18 or who is a minor under his/her local legislation is eligible to use the Service. In the event that you are of the age of 18 or older but a minor in your country, you will need to obtain consent from your parent(s) or other legal guardian(s) for using the Service and complete the registration on your behalf for you.

• Your age. No person under the age of 18 or who is a minor under his/her local legislation is eligible to use the Service.

By becoming a user of the Service, you acknowledge that you have read and understood the terms and conditions of this Terms and that you agree to be bound by all of its provisions.

Please note that the terms and conditions related to privacy and protection of your personal information are governed by the Privacy Notice provided on our website (“Privacy Notice”). Please note that though personal data is governed by the Privacy Notice, the access to and use of data generated by the Service is additionally governed by applicable data access legislation, including the EU Data Act. 

Data Generated by the Service and User Rights (EU Data Act) 

1. Data generated by the Service Use of the Neurosonic products and related software may generate data, including but not limited to: 

• device usage data, 
• session duration and program selection, 
• performance and diagnostic data, 
• interaction data between the device and the Neurosonic mobile application 
• potentially additional information generated through the optional “Insights” feature. 

Such data may include personal data and non-personal data. 

1. Right of access and use In accordance with applicable EU law, including Regulation (EU) 2023/2854 (the EU Data Act), users have the right to: 

• access data generated by their use of the Neurosonic product and Service, 
• use such data for their own purposes, including with third-party services, where technically feasible. 

1. Data sharing with third parties Upon the user’s request, Neurosonic shall make data generated by the user’s use of the Service available to a third party designated by the user, subject to: 

• applicable legal requirements, 
• protection of trade secrets, 
• security and safety requirements, 
• technical feasibility. 

1. Format and means of access Data shall be made available in a structured, commonly used, and machine-readable format, where required by applicable law. 
2. Limitations Neurosonic may restrict or refuse access to specific data where: 

• disclosure would compromise the security of the product or Service, 
• disclosure would reveal trade secrets that cannot be adequately protected, 
• access is otherwise restricted by mandatory law. 
• Relationship with Privacy Notice Where data qualifies as personal data, its processing is governed by the Neurosonic Privacy Notice and applicable data protection law. Rights under the EU Data Act apply in addition to, and do not replace, rights under data protection legislation. 

1. How to exercise data rights Requests relating to access, use, or sharing of data generated by the Service may be submitted using the contact details provided in the “Notices” section. 

What is the service? 

The service allows users to relax in a very effective way. There are 8 different programs available; four for relaxation, two for activation and two for physical recovery. All products use the same, low frequency vibration based mechanism to help users muscles to relax and recover. The services are provided mainly through the Software. 

Additionally, the Service may include an optional feature called “Insights” that allows you to connect third-party health data providers (such as Apple HealthKit, Android Health Connect and/or Oura) to import certain health and wellness data into the Service. If you choose to enable Insights, you authorize Neurosonic to access the data types you permit in the provider’s permission screen, synchronize such data (typically no more than once per day), and process it to provide Insights and improve the Service as described in our Privacy Notice. 

You can disconnect a provider and disable Insights at any time in the app settings. If you request deletion of your Insights data, we will delete it as described in the Privacy Notice. 

Insights are provided solely for informational and well-being purposes only and are not medical advice. 

Your licence 

Subject to your agreement and continuing compliance with these Terms and any other relevant Neurosonic policies, Neurosonic grants you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to access and use the Service for your own non-commercial purposes. You agree not to use the Service for any other purpose. 

Neurosonic or its licensors own all title and rights to the Neurosonic Services, including, but is not limited, to all copyrights, trademarks, know-how and other intellectual property rights included therein. You may not reproduce (whether by linking, framing or any other method), transfer, distribute, store, modify, decompile, disassemble, or create derivative works of, publicly display, or commercially exploit any part of the Neurosonic Services except as necessary to display, download or print (without modification) for your own non-commercial use. All rights in the Neurosonic Services not expressly granted to you by Neurosonic are retained by Neurosonic and its licensors. Any violations of these Terms will give Neurosonic sole right at its discretion to refuse or terminate access to the Neurosonic Services effective immediately. In such an event you are obliged to immediately destroy any copies you have made of any portion of the Neurosonic Services. 

You may propose to Neurosonic modifications or improvements to all or any part of the Neurosonic Services. By choosing to disclose such proposal to Neurosonic, you hereby grant Neurosonic all title and ownership and intellectual property rights to such proposal. 

Service Availability 

The Service is provided on an “as available” basis. Neurosonic does not guarantee that the Service will be uninterrupted, timely, secure, or error-free at all times. 

The Service may occasionally be unavailable due to maintenance, updates, technical issues, or reasons beyond Neurosonic’s reasonable control. Neurosonic shall not be liable for any unavailability, interruption, or suspension of the Service. 

Fees, Subscriptions and Cancellations 

Some parts of the Service may be provided for a fee, either now or in the future. Neurosonic reserves the right to introduce new paid features or modify existing pricing at its discretion. 

If the Service includes subscription-based features, subscriptions will automatically renew unless cancelled by you before the end of the current billing period. Cancellation takes effect at the end of the ongoing billing period, and previously paid fees are non-refundable unless required by applicable law. 

For users residing in the European Union, statutory consumer rights, including the right of withdrawal within fourteen (14) days, apply in accordance with applicable law, provided that the Service has not been used during that period. 

PRECAUTIONS AND PROHIBITED USES  

Please note that Neurosonic Services are not intended to diagnose, treat, cure, or prevent any disease or medical condition. 

The information and guidance on the website or in the social media, and the Services are there for relaxational and informational purposes only and cannot replace the services of health professionals or physicians. You should always consult a physician or a doctor before using the Services in case your physical activity has  been restricted or if you have any medical condition or doubt. 

You may never disregard professional medical advice or delay in seeking it because of something you have read on or experienced through the Services. We are not responsible for any health problems that may result from using  the Services.  

Furthermore, it is important to be sensitive to your body’s responses. For example, if you feel unexpected, repeating or long term pain, fatigue or discomfort due to using the Services, it is recommended that you consult a physician before continuing the use of the Services. The information and guidance in the Services may be misleading if your physiological functions and responses differ significantly from population averages due to medical conditions or rare natural differences. 

User Responsibilities 

You are solely responsible for your use of the Service and for ensuring that your use complies with all applicable laws and regulations. 

You are responsible for obtaining and maintaining all devices, software, internet connections, and security measures required to access and use the Service. Neurosonic is not responsible for any data loss, security breach, or damage resulting from inadequate user-side security or equipment. 

DISCLAIMER OF WARRANTIES  

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. To the extent permitted by applicable law, Neurosonic makes no warranties or representations, express or implied, regarding the Service or its content, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. Nothing in these Terms limits or excludes mandatory consumer rights under applicable law. 

If your local law in effect at the time of purchase requires a warranty, such a warranty shall be extended to the extent required by such law. Within that warranty period, Neurosonic shall repair or replace at no charge to you any components of the Neurosonic Service that fail the limited warranty provided. You shall be responsible for any related transportation charges.  Replacement products may be new or refurbished at our discretion. This limited warranty does not apply to (i) normal wear and tear, including scratches and dents; (ii) consumable parts included in the Neurosonic Service, such as control device batteries, unless product damage has occurred due to a defect in materials or workmanship; (iii) damage resulting from your failure to use the Neurosonic Service in accordance with the instructions accompanying the Neurosonic Service or available at the Website; (iv) damage resulting from an accident, flood, fire, misuse, or abuse; (v) damage resulting from service performed, or damage resulting from tampering or alterations to the Neurosonic Service, by anyone not authorized by Neurosonic; or (vi) use of the Neurosonic Sercice with any other application or software than Neurosonic’s mobile App. 

Neurosonic retains the exclusive right to repair or replace the Neurosonic Service or any parts of it, or offer a full refund, at its sole discretion. Such remedy shall be your sole and exclusive remedy for any breach of warranty. 

LIMITATION OF LIABILITY 

To the maximum extent permitted by applicable law, Neurosonic shall not be liable for any indirect, incidental, consequential, special or punitive damages, regardless of the legal basis. Where liability cannot be excluded under applicable law, Neurosonic’s total aggregate liability shall be limited to one hundred (100) euros or the amount paid by you to Neurosonic for the Service during the twelve (12) months preceding the claim, whichever is higher, except where mandatory consumer protection law provides otherwise. 

INDEMNIFICATION 

You agree to indemnify, defend and hold Neurosonic and its officers, directors, employees, agents and representatives harmless from and against all damages, liabilities, costs, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from: (i) your use of the Service or any other materials; (ii) any actual or alleged breach by you of this Terms; and/or (iii) your violation of any rights of another. 

JURISDICTION, CHOICE OF LAW AND FORUM 

The Service is operated in Finland. We do not represent that content or Materials presented on the Service are appropriate or available for use in other jurisdictions. If you access the Service from a jurisdiction other than Finland, you agree that you do so on your own initiative, and are responsible for compliance with local laws, if and to the extent local laws are applicable to your use of the Service. 

The Terms shall be governed by and construed in accordance with the laws of Finland. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Finland, unlessmandatory consumer protection laws provide otherwise. 

In case mandatory consumer protection laws sets forth specific requirements or provides additional rights with respect to consumers and to the extent these terms are in conflict with such mandatory consumer protection laws, the mandatory consumer protection laws will apply in lieu of these terms, but solely to the extent mandatorily required in the applicable law. 

If these Terms may be provided in multiple languages and there is any inconsistency between versions, the English version shall prevail unless mandatory local law requires otherwise. 

MODIFICATION OF THIS TERMS 

Neurosonic reserves the right, at any time, to modify, alter, or update the terms and conditions of this Terms without prior notice. Material changes will be communicated through the Service or other reasonable means. Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must discontinue use of the Service.  

Notwithstanding the above, the changes shall always be subject to mandatory consumer protection laws in case you are a consumer. In the event mandatory consumer protection legislation requires for example longer notice times then the longer notice periods will apply. 

TERMINATION  

These Terms remain in effect until terminated by you or Neurosonic. 

Neurosonic may suspend or terminate your access to the Service at any time if you violate these Terms or if continued provision of the Service is no longer commercially or technically feasible. 

Upon termination, your right to use the Service ends immediately. Sections concerning intellectual property, disclaimers, limitation of liability, and applicable law shall survive termination. 

If you or Neurosonic terminate the Terms, or if Neurosonic suspends your access to the Service, you agree that we shall have no liability or responsibility to you and we will not refund any amounts that you had in your account, to the fullest extent permitted under applicable law.
